These Terms of Service ("Terms") govern your use of the clericari AI business assistant service ("Service") provided by clericari ("we," "our," or "us"). By using our Service, you agree to these Terms.

1. Service Description

clericari provides an AI-powered business assistant that handles clerical operations including missed call follow-up, email triage, schedule management, and estimate/invoice follow-up for small businesses. The Service operates on your behalf using connected accounts and communication channels that you authorize.

2. Account and Setup

  • You must provide accurate business and contact information during onboarding
  • You are responsible for authorizing access to third-party accounts (email, calendar, accounting software) used by the Service
  • You may revoke access to any connected account at any time
  • A one-time setup fee and monthly retainer are required as outlined in your service agreement

3. Communications on Your Behalf

By using the Service, you authorize clericari to send and receive communications (SMS, email) on behalf of your business. You are responsible for:

  • Ensuring you have appropriate consent from your customers to receive automated communications
  • Reviewing and approving communication templates and automated response settings during onboarding
  • Promptly notifying us if any automated communication is inaccurate or inappropriate

4. Data Ownership

You own all data generated by and about your business through the Service. This includes all learned patterns, customer information, interaction summaries, and operational intelligence. We provide data export in standard formats at your request. See our Privacy Policy for details on data handling and portability.

5. Service Availability

We strive for continuous availability but do not guarantee uninterrupted service. We are not liable for service interruptions caused by third-party providers (cloud infrastructure, telecommunications, email services), scheduled maintenance (with advance notice), or circumstances beyond our reasonable control.

6. Limitation of Liability

clericari provides automated business assistance and makes best-effort decisions based on the information and preferences you provide. We are not liable for:

  • Business decisions made based on AI-generated recommendations
  • Lost revenue from service interruptions
  • Inaccuracies in automated communications (though we implement confidence thresholds and approval workflows to minimize these)

Our total liability is limited to the fees you have paid in the three months preceding any claim.

7. Cancellation

  • You may cancel the Service at any time with 30 days written notice
  • Upon cancellation, you may request a full export of all your business data within 30 days
  • Setup fees are non-refundable after onboarding is complete
  • Monthly fees are prorated to your cancellation date

8. Acceptable Use

You agree not to use the Service to:

  • Send spam or unsolicited communications
  • Violate any applicable laws or regulations
  • Transmit malicious content
  • Misrepresent the nature of automated communications to your customers

9. Changes to Terms

We may update these Terms from time to time. We will notify active clients of material changes at least 30 days in advance. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

10. Governing Law

These Terms are governed by the laws of the State of Utah. Any disputes will be resolved in the courts of Utah County, Utah.
